INTRODUCTION

    The Twenty Two is a trading name of Townhouse 22 Management Limited,The Twenty Two is a trading name of Townhouse 22 Management Limited, a company registered in England and Wales (company number 11577526) and with registered office at 4th Floor, Millbank Tower, 21-24 Millbank, London, United Kingdom, SW1P 4QP.
    The Twenty Two is a place of creation and dissemination for the London cultural scene, the club at The Twenty Two is a dedicated space, energized with a crowd who come together to define the next era. Patrons are encouraged to use the club at The Twenty Two as a place of study as much as a social venue.
    These rules (the "Rules") are in place to ensure acceptable standards of conduct by members and their guests and to govern the administration of applications and memberships of the club. So the club may be enjoyed by all members peacefully.
    All members and guests must comply with these Rules and members shall be responsible for ensuring that their guests are aware of and comply with these Rules and will be held responsible for their guest behaviour at all time
    The Twenty Two shall appoint a Committee made up of persons selected by the club to represent and enrich our club ethos and to take steps to enforce these Rules.

    PART A – MEMBERSHIP AND PAYMENT

    1. MEMBERS OF THE TWENTY TWO
      1. A member of The Twenty Two is any person who has a current membership of the club. All members agree to be bound by these Rules and any further rules or regulations communicated to them by the club from time to time. 
      2. Members of The Twenty Two shall consist of Young Patrons, Patrons, Joint Patrons, Temporary Patrons, Lifetime and Committee members. 
      3. Unless they are already members, hotel residents shall be deemed to be Temporary Patrons for the duration of their stay only, subject to any further requirements issued by the club or the Committee from time to time. 
      4. The criteria for each category of members is as follows: (a) Young Patrons: members who are aged 32 or below. (b) Patrons: members aged 33 or above. (c) Joint Patrons: married couples, civil partnerships or life-partners who reside at the same residential address. (d) Temporary Patrons: hotel residents who have agreed to be bound for the rules of the club. (e) Lifetime: by invitation only. 
      5. Where a Young Patron member reaches 33 years of age, The Twenty Two will automatically transfer the member to a Patrons membership and, upon renewal, the membership fee payable shall be the fee for a Patrons membership. The club will inform the member of these changes by email and before their renewal date. 
      6. Patron Membership is non-transferable and non-refundable. 
      7. The Committee shall be deemed to be such person or persons authorised to the position by the club.

    2. MEMBERSHIP APPLICATION PROCEDURE
      1. Applications for membership are open to all persons over the age of 18 years. 
      2. Prospective members must be proposed by one existing member. The prospective member must submit an online application form, accompanied by a letter of support from the proposer. 
      3. By completing and submitting an application, you agree to be bound by the Rules. 
      4. The decision of the Committee is entirely at the Committee’s discretion and is not subject to appeal by the prospective member and the Committee is not required to give reasons for its decision. If a membership application is successful, The Twenty Two will notify the successful applicant by email. 
      5. For a member to activate their membership, the member will need to (a) create a username and password via the member portal website (as described in the confirmation email, the “Member Portal”); and (b) download The Twenty Two app (“the Member App”) from the Apple App Store or Google Play. Once the Member App has been successfully downloaded, the member will be guided through the necessary steps.
      6.  The successful member’s membership shall commence on the date specified in the confirmation email sent by The Twenty Two confirming that all required steps have been completed. 
      7. The Twenty Two may at its absolute discretion override any decision relating to membership including, but not limited to, decisions of the Committee regarding applications.Applications for membership are open to all persons over the age of 18 years.

    3. ENTRY TO THE CLUB
      1. Upon arrival, the member will be asked to sign in with their digital membership card found in the Member App. 
      2. Guests of members are only permitted to enter the club once the reception staff have confirmed that they have recorded the guests’ details.
      3. The Twenty Two may at its absolute discretion: (a) refuse entry to the club by any member and/or guest without providing a reason; (b) remove any member and/or guest from the club premises without providing a reasons; and (c) suspend or terminate a member’s membership without providing a reason.

    4. EFFECT OF EXPIRY, SUSPENSION OR TERMINATION OF MEMBERSHIP
      1. Where an individual’s membership has expired or has been terminated, or during the period of suspension of an individual’s membership, the individual is not entitled to exercise the rights of a member under these Rules.

    5. DISCIPLINARY PROCEDURE
      1. The Twenty Two reserves the right to immediately terminate an individual’s membership or suspend an individual’s membership for any period if the Committee or The Twenty Two determines that a member’s conduct is inappropriate, violent or abusive, or is not in the best interest of The Twenty Two, or may harm the reputation of the club, its members or staff or is in breach of the Rules.
      2. Where The Twenty Two has terminated or suspended an individual’s membership: (a) that member is not permitted to return to the club as a guest after such termination or during such suspension; (b) any refund of the membership fees shall be entirely at the discretion of The Twenty Two.
      3. Where The Twenty Two suspends or terminates an individual’s membership, the individual will be given notice in writing by the club, provided that where suspension or termination is immediate, it may be communicated verbally and written notice shall be provided within a reasonable time.

    6. RENEWALS
      1. Membership is for a minimum period of one year and are renewable annually The Committee has complete discretion to decide whether to renew a membership.. Membership if approved will be automatically renewed unless suspended or terminated. The Committee’s decision is final.
      2. Members must notify the club before the end of the month in which their membership renews should they wish to cancel or make any changes to their membership.

    7. MEMBERSHIP FEES AND PAYMENT
      1. Members who are resident in the United Kingdom shall be required to complete and maintain a direct debit mandate in favour of The Twenty Two. All other members shall be required to ensure that The Twenty Two has up to date payment card details at all times.
      2. We ask all prospective members to provide up to date payment card details with their application. No fees will be taken until the membership has been activated.
      3. Upon approval, membership fees will be charged by the payment details provided.
      4. The Twenty Two may increase the membership fees from time to time which shall be effective for each member from their next renewal date.
      5. Where a former member is approved for new membership, the current membership fees shall be payable.
      6. The confirmation of a new membership or the renewal of an existing membership will be delayed or cancelled if the payment for membership subscription fees is declined.
      7. Where the renewal of an existing membership is prevented by a declined payment, the individual’s membership shall be suspended from the expiry of the paid membership period.

    8. OTHER FEES AND PAYMENTS
      1. Members who are resident in the United Kingdom shall be charged for all (non- membership) fees via direct debit. All other members shall be charged via the card details provided as part of their membership application (or via updated details provided).
      2. Members may make payments, track spend and view monthly statements on the go via the Member App.
      3. In the event the payment cannot be processed through the member’s registered account, all bills must be settled on the night.
      4. Members are responsible for any purchases and non-membership fees incurred by their guests. If a bill is not paid by a member or their guest, this may result in a termination of membership. This is without prejudice to The Twenty Two’s other rights, including without limitation the right to recover any unpaid sums.

      PART B – GENERAL RULES

    9. MOBILES AND LAPTOPS
      1. Mobile devices must be set to silent, meeting or vibrate mode at all times and phone calls are to be taken in the Lobby only.
      2. The use of laptops is permitted until 5pm in the Library, ground floor only.
      3. Any sound generated by mobiles, laptops or other devices must only be played through headphones and must not be audible to others.

    10. PHOTOGRAPHY AND PUBLICITY
      1. Photography, videos, live-streaming or recording of any kind is not permitted on The Twenty Two’s premises.
      2. Our community thrives on shared values of privacy and respect. Members must maintain other members (and their guests) privacy and confidentiality and are not permitted to publicly discuss other members or guests without their permission.

    11. DOGS
      1. Dogs are welcome in the Library room until 5pm provided they are accompanied by their owner and remain on a lead. Dogs are not permitted elsewhere in the club or at other times, except for certified assistance dogs.
      2. Other than as set out above, no other animals are allowed in the club.

    12. SMOKING
      1. No smoking (including e-cigarettes and vapes) is allowed in any indoor area of the club. Members and their guests are to smoke in the designated Smoking Areas only.
      2. Members and guests must comply with all applicable laws and regulations regarding smoking.

    13. LOST PROPERTY
      1. Any property left on the premises, in the cloakroom or with a member of staff, shall be entirely at the member’s own risk; The Twenty Two shall not be liable for any loss of or damage and lost property items will be held for no longer than 5 days.

    14. GUESTS
      1. Members are permitted to bring up to 3 guests at any one time unless they have a larger booking for dinner. Members may submit a request for an extended guestlist by contacting the Membership Manager 48 hours before arrival. The Membership Manager has complete discretion to accept or decline such request.
      2. All guests must be signed in by the member upon arrival. If a guest arrives before the member, they will be asked to wait in the public bar.
      3. Members are responsible for the actions of their guests while visiting the club. Guests must leave the club when the relevant member leaves the club and Guests must not be left unaccompanied by the member under any circumstances.
      4. A member is responsible for all bills incurred in the club by them or their guests. In the event a bill is left unsettled, the bill will be charged to the members account.
      5. A member is responsible for ensuring that their guests comply with the Rules. A member will be held responsible for any breaches by their guests and a member’s membership may be suspended or terminated as a result of actions by their guests.
      6. We welcome those under the age of 18 to access the ground floor public restaurant.
      7. Children of Members or Hotel Guest are welcome to be in the Living Room until 5pm
      8. In order to create a balanced environment for all our members and guests we kindly ask that all groups over three people are mixed.

    15. DRESS CODE
      1. The club does not enforce a formal dress code as we celebrate individuality, however we do encourage all to think of their fellow members and the atmosphere of their club and therefore actively discourage wearing gym, active or beachwear throughout the members spaces.

    16. OPENING HOURS:
      1. The Living room: Monday – Sunday: 7.00am - late 
      2. The Restaurant: Monday - Sunday: 12.30pm - midnight
      3. The Red Room: Thursday - Saturday: 7:30pm - 11.00pm 
      4. Outdoor Vaults: Monday– Sunday 12.00pm – late 
      5. The Music Room: Thursday – Saturday 10.30pm - late 

    17. NEIGHBOURS
      1. We are located in a residential neighbourhood and pride ourselves on being a respectful community member. Members and their guests leaving the club at night must do so quietly and respectfully. Any disturbance may lead to membership suspension or termination.

    18. RESERVATIONS, EVENTS AND CANCELLATIONS
      1. Members can make reservations via the Member App / Member Portal, by telephone or email. All contact details can be found on the Member App / Member Portal in “Contact Us”.
      2. All events enquiries must be made through our online “Event Inquiry Form” found on the Member App / Member Portal or by emailing the Head of Events at events@the22.london
      3. Any changes or cancellations to an event booking must be made by phone with the Events or Membership Department.
      4. Once a request for change or cancellation has been received by a member of our team, an automated email will be sent to confirm any amendments or cancellations.
      5. A cancellation fee will be charged for cancellations less than 24 hours in advance or for a failure to show.
      6. We may close all or part of the club to members and their guests for private events or maintenance work. Where a private event is taking place in part of the club, members must respect the privacy of the event and attendees and shall not disclose any details of the event or attendees to any third party.

    19. HOTEL ROOMS
      1. When reserving a room in the hotel, a member and any guest shall be bound by the booking policy as outlined at the time of the reservation.

    20. ILLEGAL SUBSTANCES AND ITEMS
      1. No member or guest shall use, ingest, possess, sell or otherwise distribute any illegal substances or other illegal items or attempt or seek to do the same on any club premises or in the nearby vicinity or in any context relating to the club.
      2. Any member or guest found in breach of the Rules regarding illegal substances or items will be ejected from the premises and the individual’s membership shall be terminated.

    21. DAMAGES
      1. Members and their guests shall respect the property of the club and other members at all times and shall not remove or cause any damage to it.
      2. If a member and/or their guest(s) cause any damage or destruction to any property of the club or another person, the member shall be fully responsible for covering any costs incurred by the damaged.

    22. PRIVACY
      1. Any membership information or other personal information that you or your guests provide or which we collect from you will be processed in accordance with our privacy policy.

    23. CONDUCT, SAFETY AND SECURITY
      1. No drunkenness, bad language, violent or abusive behaviour or other inappropriate behaviour is permitted on the club’s premises.
      2. Members and guests are required to observe the Rules and any signs or other information communicated to them by the club or its staff. Members are responsible for taking reasonable precautions to keep themselves and their guests safe while on the club’s premises.
      3. Members shall immediately report any accidents or hazards to the club’s staff.
      4. Members should be aware (and must make their guests aware) that the club uses CCTV for safety and security reasons.
      5. Members must comply with all laws and regulations while on the club’s premises.

    24. INTELLECTUAL PROPERTY
      1. Members and guests shall not use the names, logos, trademarks, get-up, goodwill or other intellectual property of The Twenty Two (“Intellectual Property”) without The Twenty Two’s prior written permission, and may not create or authorise the creation of any communications, marketing, advertising or promotional materials which use the Intellectual Property without The Twenty Two’s prior written permission.

    25. LIABILITY
      1. Subject to clause 25.5, The Twenty Two, it’s staff, servants and agents shall not be liable to any member or guest for any loss, damage or injury suffered by them or to their property howsoever caused, other than as a result of The Twenty Two’s negligence.
      2. Subject to clause 25.5, the total liability of the club in contract, tort or any other head of liability shall be limited to the membership fees payable by the member (or in the case of a guest, by the member to who the guest was attached) for the previous two years.
      3. Subject to clause 25.5, the Twenty Two shall not be liable for any consequential or indirect loss.
      4. Subject to clause 25.5, the Twenty Two shall not be liable for any loss of profits, loss of sales or business, loss of agreements or contracts, loss of anticipated savings.
      5. The Twenty Two does not exclude or limit in any way any liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence and liability for fraud or fraudulent misrepresentation.

    26. GENERAL
      1. A member’s membership and their rights under the Rules or any agreement with the club are personal to them and cannot be transferred or assigned to any other party.
      2. The Twenty Two may transfer its rights and obligations under its agreements with each member to any other party.
      3. These Rules do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement.
      4. If a court finds that any part of the Rules is illegal or unenforceable, the remaining Rules shall continue in force.
      5. No failure or delay by The Twenty Two to exercise any right or remedy provided under this agreement or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy by The Twenty Two shall prevent or restrict the further exercise of that or any other right or remedy.

    27. INTERPRETATION AND AMENDMENTS
      1. These rules shall be governed in accordance with the laws of England and Wales and the parties to any dispute agree to submit to the exclusive jurisdiction of the courts of England and Wales.
      2. In the event of a dispute regarding the interpretation of the Rules, the matter shall be referred to the Committee whose decision shall be final.
      3. The Twenty Two may amend the Rules from time to time. Where it does so, it shall display the new Rules at [website]. Unless clearly stated otherwise, such Rules shall supersede and replace the previous Rules.
